Articles of association of China small and medium sized commercial enterprises
Chapter I General Provisions
Article 1 the China Association of small and medium-sized commercial enterprises is a national and industrial social organization voluntarily formed by small and medium-sized commercial enterprises (including commodity retail industry, commodity wholesale agency industry, commodity manufacturing industry, life service industry, modern service industry, etc.) and their employees. It is a non-profit social organization.
The membership distribution and activity area of the association are all over the country.
Article 2 the purpose of the association is: to unite small and medium-sized commercial enterprises, actively participate in the national economic construction, and promote the prosperity of China's socialist market economy; to carry out relevant commercial and economic activities based on commercial services, and to assist small and medium-sized commercial enterprises in strengthening foreign economic cooperation and development; to communicate the relationship between enterprises and the government, adhere to serving the overall interests of enterprises, and safeguard the legitimate rights and interests of members Undertake all work entrusted by the government, undertake self-discipline management of the industry, and give full play to the role of bridge.
Abide by the constitution, laws, regulations and national policies, practice socialist core values, and abide by social ethics.
Article 3 in accordance with the provisions of the constitution of the Communist Party of China, the association shall establish an organization of the Communist Party of China to carry out the activities of the party and provide necessary conditions for the activities of the party organization.
The registration administration organ of the association is the Ministry of civil affairs, and the party construction leading organ is the Party committee of the state owned assets supervision and Administration Commission of the State Council.
The association shall accept the business guidance, supervision and management of the registration administration, the party construction leadership and the relevant industry management departments.
Article 4 the responsible persons of the association include the president, vice president and secretary general.
Article 5 The domicile of the association is located in Beijing.

Chapter VII amendment procedures of the articles of Association
Article 72 the amendment to the association's articles of association shall be voted by the Council and submitted to the member's Congress for deliberation.
Article 73 the amended articles of association of the association shall be submitted to the leading organ of the party construction for examination and approval after more than 2 / 3 of the representatives of the members present at the Congress of the members have voted and approved, and shall be submitted to the registration administration organ for approval within 30 days after approval.
Chapter VIII termination procedures and disposition of property after termination
Article 74 the motion for termination of the association shall be proposed by the Council or the Standing Council and submitted to the member's Congress for approval.
Article 75 before the termination of the association, a liquidation organization shall be established according to law to clear up the creditor's rights and debts and deal with the aftermath. During the period of liquidation, no activities other than liquidation shall be carried out.
Article 76 The association shall be terminated after the registration authority has gone through the formalities for cancellation of registration.
Article 77 the surplus property after the termination of the association shall be used for the development of undertakings related to the purposes of the association or donated to social organizations with similar purposes under the supervision of the leading organ of Party construction and the registration administration organ in accordance with the relevant provisions of the state.
Chapter IX supplementary provisions
Article 78 the articles of association was adopted by the third member's Congress on November 25, 2017.
Article 79 the right of interpretation of the articles of association belongs to the Council of the association.
Article 80 the articles of association shall come into force as of the date of approval by the registration administration authority.
