Chapter I General Provisions

Article 1 in order to strengthen and improve the management of the branches of China Association of small and medium sized commercial enterprises (hereinafter referred to as the branches) and better support and promote the development of the branches, in accordance with the provisions of the regulations of the state on the administration of the registration of social organizations, the measures for the registration of branches and representative offices of social organizations and the articles of association of China Association of small and medium sized commercial enterprises, and in combination with Chinese small and medium-sized businesses The Industrial Enterprise Association (hereinafter referred to as the Association) shall formulate these measures in accordance with the actual situation.

Article 2 branches are established according to the needs of the industry and the needs of the development of the association, according to the division of business scope and the characteristics of industry representativeness. They are specialized in a certain business or carry out activities in a certain field. Branches can be called branches, professional committees and working committees.

Article 3 branches belong to the association and are an integral part of the association. They do not have the independent legal personality and accept the leadership and management of the association.

Article 4 the work of the branches is a part of the overall work of the association, a supplement to the work of the association and an extension of professional services. Work independently within the business scope of the association as stipulated in the articles of association and approved by the Ministry of civil affairs. The work carried out must reflect the specific attributes of the branches and conform to the professional characteristics.

Article 5 branches shall strictly abide by national laws and regulations and relevant policies, and conscientiously perform the responsibilities of organization, guidance, coordination and service as required.

Chapter II Establishment, alteration and termination

Article 6 Establishment of branches.

(1) Principles and conditions of establishment.

1. In line with the responsibilities and tasks stipulated in the articles of association of China small and medium sized commercial enterprises, following the principles conducive to the development of the industry, enterprises and the association, being able to provide professional services for the industry and enterprises, and being able to undertake the relevant work of the government and relevant institutions.

2. For industries, formats and categories with development prospects, the sponsor is a well-known domestic or industrial enterprise.

3. Have a certain number of initiating units and professional personnel with the operation ability of branches.

4. Have standard name and fixed residence.

5. On the basis of maintaining its own operation, it is able to achieve the service and economic goals set by the association.

(2) Name specification.

1. Branch: it has very obvious industry attributes, and can be called a branch if it carries out all-round work for a specific industry. The work of the branch is characterized by comprehensiveness, complete business, service contents and projects; the branch must develop its members with the foundation of industry members; and it should establish the corresponding member discussion system.

2. Professional Committee: carry out research and guidance on an industry or an important professional issue in an industry to guide the development of the industry. The characteristics of the professional committee are professional, characteristic and research; it needs to undertake certain basic economic tasks.

3. Working Committee: implement the work of certain industry, undertake the work and service outsourcing of government and relevant institutions, solve the specific problems and difficulties of the industry, and promote the development of a certain field related to the industry, which is closely connected with the industry. The working committee is characterized by its special work and needs to undertake certain basic economic tasks.

(3) Establish procedures.

1. declaration. Submit the establishment application report to the association. The contents include: name of the branch to be applied for, brief discussion and Analysis on the current situation, national policies, market environment and development trend of the industry or profession involved in the branch to be established, necessity and importance of establishing the branch, business scope of the branch, long-term work planning assumption of the branch and work plan of the year after its establishment, registration of the branch to be responsible for Personnel selection (including resume); establishment of branch and internal organization, source of funds, other materials required by relevant departments, etc.

The appendix of the report includes: application form for branch registration, proposed business scope, certificate and copy of residence property right or use right. The report shall be attached with a list of more than 30 sponsors.

2. the first instance. The Secretariat shall, together with relevant departments, conduct preliminary examination on the above materials, investigate the person in charge of nomination and registration, put forward preliminary examination opinions and submit them to the president's office meeting for deliberation.

3. audit. The president's office meeting shall form written opinions after the demonstration and evaluation of the proposed branch, and review and approve the proposed branch.

4. pass. To be submitted to the Council or the Executive Council for adoption. The Secretariat issues plaques to newly established branches.

5. registration. Go through the registration procedures.

Article 15 financial management of branches.

(1) The financial management of branches shall refer to the relevant financial management systems formulated by the state and the association. In principle, the Finance Department of the association shall be responsible for the unified management and implement the financial management system of "unified collection and expenditure, department accounting".

(2) According to the Interim Measures for the administration of bank accounts of central budget units and its supplementary provisions, in principle, all branches shall not open bank accounts separately.

(3) The financial reimbursement of branches shall be subject to the examination and approval system in which the legal representative of the association entrusts the person in charge of registration of branches.

(4) The branch shall designate a special person as the financial contact person to be responsible for the daily financial reimbursement and reconciliation. If the financial contact person changes, it shall be reported to the financial department for filing.

(5) About fees and contracts.

1. When collecting membership dues, the branches shall issue the unified bill of national social organization membership dues under the supervision of the Ministry of Finance in accordance with the membership dues standard formulated by the association, and shall not use any other bills; the association only issues membership dues to the members existing in the membership management system of the association.

2. When a branch accepts donations, it shall sign a donation agreement. The unified bill for donation of public welfare undertakings supervised and produced by the Ministry of Finance shall be used for accepting donations.

3. Other income other than the tax-free income such as the membership fee income and donation income of the branch belongs to the tax revenue. The tax revenue needs to use the bills printed by the State Administration of Taxation and pay taxes according to law. If the tax revenue is more than 20000 yuan (including), an economic contract should be signed with the relevant units in the name of the association.

4. It is not allowed to sign economic contracts and cooperation agreements in the name of branches (official seals). Economic and cooperation agreements (contracts) signed in the name of branches (official seals) shall be deemed invalid by the association. In such cases, the registration principal of branches shall bear corresponding responsibilities.

(6) Branches must be audited before the change or termination of the person in charge of registration.

(7) Before the termination of a branch, it is necessary to clear up the creditor's rights and debts and deal with relevant matters according to the requirements of the Association; the remaining assets after the termination shall be owned by the association.

Article 16 business management of branches.

In line with the principles of giving full play to advantages, sharing resources, improving services and promoting development, branches can carry out business activities in their own name, but they need to be integrated into the unified management of the association and follow the corresponding rules and regulations of the association.

(1) Branches shall submit annual work summary and next year's plan according to the unified arrangement of the association every year, and the project activities listed in the plan shall be implemented after being approved; the temporary project activities shall be implemented after being approved by the leader in charge.

Important matters and large-scale activities of branches shall be reported to the Secretariat of the association in advance. Including but not limited to: industry appraisal and commendation, large-scale exhibition, training competition, information and news release, foreign-related activities, celebrations, etc. shall not be held without approval.

(2) If the business activities of branches involve the overall work of the association, they can be incorporated into the overall work plan of the association and implemented according to the unified requirements and deployment; branches need to participate in and support brand activities and key work as required.

(3) Branches shall carry out business activities within their approved business scope and conform to the professional and domain attributes.

(4) If a branch cooperates with other units in the form of joint operation, co operation or signature, it must sign a cooperation agreement with the cooperative units in the name of the association.

(5) The branch shall be responsible for the content of its own website and accept the guidance and supervision of the Secretariat of the association. The website of the branch shall be linked with the website of the association, and each other shall be exempted from using the online information.

(6) Branches may establish and improve the industry-specific expert consultant team and build a good expert consultant database as the case may be. The appointment of expert consultants shall be familiar with the development trend of the industry, have a high academic (technical) level and rich working experience, and have a certain degree of popularity in the professional field. Those who are healthy, have high level of policy and government, have strong business ability, love the work of the association, and have the necessary conditions to perform the duties of experts and consultants shall be employed preferentially.

(7) When a branch carries out its work externally, it must use the full name and the English translation shall be consistent with the Chinese name.
Article 17 seal management of branches.

(1) The Secretariat shall be responsible for the seal engraving of the branch, which shall be under the unified management of the designated personnel.

(2) The use of seals of branches shall be in accordance with the provisions on the use and management of seals of China Association of small and medium sized commercial enterprises.

(3) Branches shall not make their own seals, and the internal departments shall not make their own seals.

(4) The use of the seal of a branch must be registered, and the matters, time, document number, handler, etc. of the use of the seal shall be clear, and shall be signed and approved by the person in charge of registration of the branch.

Article 18 management of documents of branches.

(1) The branches shall execute the measures for handling official documents of China Association of small and medium sized commercial enterprises when writing to the outside. The principle of standardization and efficiency shall be adhered to in official document processing, so as to ensure the timely submission of documents, the accuracy of the handling unit and the safety of the transmission process.

(2) The standards for marking all kinds of official documents issued by branches are as follows: XXXX Committee (Committee) [year] * of SME Association. The official document paper generally adopts the international standard A4 type (210 * 297mm). The envelope can be of standard size and uniformly printed with "XXXX Committee of China Association of small and medium sized commercial enterprises". The branches can send their own documents, uniformly overprint the red headed letter paper of "XXXX Committee (Committee) of China Association of small and medium sized commercial enterprises", affix the seal of the branches, and send it only after the signature of the person in charge of the branches.

(3) Major events or large-scale activities held by branches (refer to all kinds of activities facing the whole country or the whole industry) shall be issued by the Association; relevant activities carried out in the name of branches shall be reviewed and approved by the association and filed with the Secretariat.

(4) The general correspondence for the contact work of branches may be sent by themselves without the uniform number of the association.

(5) When a branch holds an activity jointly with other units, if the document is mainly issued by the joint organizer, it shall sign the association.

Article 19 development and management of members of branches.

(1) Upon authorization, the branch may develop its own industry, profession and field units and individuals as members, the developed members as direct members of the association, and the general members in the membership category; the branch may recommend its representative members as directors, executive directors or vice presidents of the association.

(2) The branches may collect membership dues, which are owned by the association. The association will allocate part of the membership dues to the branches according to the work needs. The membership dues of the branches shall be subject to the relevant provisions of the measures for the management of the members of China Association of small and medium sized commercial enterprises.

(3) Branches can develop their own industry members, but they do not have independent members. The developed members are members of the association. Members of the working committee and the professional committee may be called vice chairmen, standing members and members; members of the branch may be called vice chairmen, standing members and members. Members of a branch cannot be called directors or executive directors.

(4) For branch development members, they shall fill in the application registration form for membership, which shall be reviewed by the branch and submitted to the member department for filing.

(5) Branches shall input the information of development members into the membership management system of the association and provide the information of new development members as required every year.

(6) The procedure, appointment letter, plaque style and membership fee standard of the development members of the branch shall be submitted to the member department for approval and filing. As a direct member of the association, the members of the development of branches will be issued with certificates and plaques and charged a certain cost.

Chapter IV sources of funds

Article 20 sources of funds for branches:

(1) Membership fees collected on behalf of our development members;

(2) Donation income of members and sponsorship of relevant units;

(3) Income from carrying out activities or services within the approved business scope;

(4) Other legitimate income.

Chapter V penalty provisions

Article 21 under any of the following circumstances, the association will punish the relevant responsible person accordingly.

(1) If there is no annual work plan, there is no justifiable reason to carry out activities for half a year, and there is no report on major events and large-scale activities, the branches shall be ordered to make rectification within a time limit, or be criticized in a notice.

(2) Those who violate the relevant provisions of the state in charging fees at random shall be dealt with accordingly in accordance with the relevant provisions.

(3) For those who alter, lease or lend the reply letter of approval for branches of social organizations, or lease, lend or engrave the seals of branches, or set up private coffers, they shall be dealt with respectively according to the nature of the problem and the seriousness of the circumstances.

(4) For business activities beyond the scope of registration business, or legal disputes arising in economic activities, which would have caused adverse effects or economic losses, the person in charge of registration shall be informed of criticism and warning according to the circumstances, and the branch shall bear the responsibility for economic compensation, until the removal of the position of the person in charge of registration.

(5) For those who violate relevant laws and regulations and neglect management and cause serious consequences or economic losses, they shall be ordered to make rectification within a time limit, and shall be criticized and warned according to the circumstances. The branch shall be jointly and severally liable for all the resulting liabilities.

(6) Where there is no ability to guarantee funds and the service and economic objectives cannot be fulfilled, the post of the person in charge of registration of the branch shall be revoked

(7) If the internal management is disordered and affects the stable development of the unit, and there is no obvious improvement after criticism and education, rectification shall be made within a time limit, and the person in charge of registration shall be investigated for responsibility.

(8) If there are other bad behaviors in violation of the provisions, corresponding punishment shall be given according to the seriousness of the circumstances.

(9) The leaders of each branch meeting shall earnestly perform the responsibilities in charge, and the leaders in charge shall bear the corresponding responsibilities for the branches with problems.

Chapter VI supplementary provisions

Article 22 the measures shall be formally implemented as of January 1, 2018. The original measures for the administration of branches of China Association of small and medium sized commercial enterprises shall be repealed at the same time.

Article 23 the SFC shall be responsible for the interpretation of these measures.
